Date: 08 Jul 2002 10:18:07 -0400 ***** eBay to buy PayPal for $1.5 billion eBay second quarter earnings better than expected MSNBC STAFF AND WIRE REPORTS SAN JOSE, Calif., July 8 — Online auctioneer eBay on Monday said it would buy PayPal Inc. in a stock swap worth about $1.5 billion, acquiring the online payment system already used by many eBay customers. The long-rumored deal would mark the end of eBay’s rival, in-house electronic payment program. EBAY SAID IT will swap 0.39 eBay share for each PayPal share. The deal values PayPal at about $23.61 per share based on eBay’s closing Nasdaq stock price on Friday of $60.55. PayPal, which went public in February, closed Friday at $20. Separately, eBay released second-quarter earnings early, posting results that beat Wall Street expectations. EBay’s net profit more than doubled to $54.3 million, or 19 cents per share, on revenue of $266 million, in the quarter ended June 30. Wall Street analysts had been expecting 17 cents a share, according to Thomson Financial/First Call. Mountain View, Calif.-based PayPal lets buyers make payments online through credit cards and bank accounts and sends confirmation of the funds to sellers via e-mail. It charges a fee based on the amount transferred. About 60 percent of its business comes from eBay users. eBay Inc. Though PayPal began with just 24 experimental users in October 1999, it has quickly become a profitable company and had one of this year’s best initial public offerings, with its stock rising 55 percent on its first day of trading, in February. “EBay and PayPal have complementary missions. We both empower people to buy and sell online,” said Meg Whitman, eBay’s chief executive. “Together we can improve the user experience and make online trading more compelling. We can also capture greater value from the e-commerce opportunities occurring both on and off our site.” San Jose-based eBay hopes to close the acquisition by the end of the year if regulators and shareholders approve, and then phase out eBay Payments by Billpoint, which never proved as popular with eBay users as PayPal. The deal calls for PayPal shares to be converted into 0.39 shares of eBay, which at Friday’s closing prices values PayPal at $1.5 billion. The offered price would give PayPal shareholders $23.61 of eBay stock for each PayPal share, based on eBay’s closing price of $60.55 on Friday on the Nasdaq Stock Market. That is an 18.1 percent premium over PayPal’s closing price of $20 a share Friday on Nasdaq. I finally got one in the mail today and thought I'd do a mini-report for those who would like to collect them. Topps took 100 1979 Trek cards and 100 1976 cards and put a gold foil stamp on them. a #29 stamp on the 70 (and a 28 I think) and the 76). So, there are only two cards in the set...sorta..technically..100 different cards with some dupes exist, though each 76 or 79 card carried the same gold foil number assigned to it. obviously, one would have to get ALL 200 to have a *technically* complete set. Glen Frohman and Tina Thornton, both of 513 W. Market St., each face a maximum of five years in prison and a $250,000 fine. U.S. Magistrate Judge Michael R. Merz ordered that Frohman be held without bond pending a detention hearing set for 11 a.m. Friday. He also set preliminary hearings for the pair at that time. In a sworn statement, Postal Inspector M.E. Arthur states that he was contacted on Aug. 15 by the agent for musician Eric Johnson regarding Frohman advertising a Web site offering to sell concert videos from numerous musicians. On Sept. 25, Arthur, using an undercover name, states he placed an order through the Web site for the Dave Matthews Band's Tabernacle and Austin City Limits. Arthur states that after he received the videos for $39, Wendy Yascur, coordinator, evidence control and anti-piracy special projects for the Recording Industry Association of America, was contacted. Yascur sent the videotapes to Coran Capshaw, manager for the Dave Matthews Band, who provided a sworn statement stating the band had "never licensed, consented to or otherwise authorized neither Glen Frohman nor Tina Thornton to manufacture, distribute or offer to sell the videos of the live musical performances." On Dec. 11, Arthur states he ordered five more videos — live musical performances of Tori Amos, Bruce Springsteen, Eric Clapton, Prince and Phish — and received them after sending $153. Again, Yascur forwarded the tapes to the appropriate management companies to confirm they had been pirated. Arthur also cites an e-mail message allegedly sent by Frohman to Jim Weiss, president, The I Trade Group, Inc., in which he states, "Yeah, I deal in bootleg tapes . . . (video currently, but it was audio for 15 years)" Frohman also states he has "been running an online business with my tapes for eight years." Arthur states he also retrieved evidence of Frohman's video piracy business from trash placed for collection in front of Frohman's Troy residence on June 20.
